Equipment Loan Agreement

Short-term rental of Mobile Equipment to enable a trials, pilots and evaluations of Baseline software solutions

Acceptance of any proposal that includes Equipment Rental constitutes acceptance of this Equipment Rental section as part of Baseline’s Terms of Use.

1. Purpose of the Equipment Rental

Baseline may, at its discretion, make mobile Equipment available to clients on a rental basis for the sole purpose of supporting pilot or evaluation use of a Baseline solution (the “Equipment Rental”).

The Equipment Rental is independent of any software subscription and does not create any obligation for the client to subscribe to any Baseline solution beyond the term of the trial as described in the proposal, extend the rental, or purchase the rented equipment at the end of the rental period.

2. Rental Equipment and Kits

Each Equipment Rental kit (a “Kit”) consists of one the following components:

  1. Tablet device (iOS or Android)
  2. SIM card with wireless data connectivity
  3. windshield or suction-cup mounted ruggedized holder
  4. ruggedized tablet protective case
  5. in-vehicle charger
  6. charging cable

All components of a Kit are collectively referred to as the “Rental Equipment”.

Each are required to be returned at the end of the Equipment Rental. Tablets, accessories, and SIM cards are not considered consumables.

This program supports both iOS and Android tablets. While Baseline will make reasonable efforts to provide devices matching the client’s preferred operating system, availability is subject to inventory at the time of shipment.

3. Ownership and Device Management

All Rental Equipment remains the sole property of Baseline at all times.

Mobile Device Management (“MDM”), including device configuration, security controls, and remote management, is administered and maintained by Baseline for the duration of the rental period.

The client may not remove, disable, or interfere with any MDM or management controls applied to the Rental Equipment.

Baseline reserves the right to remotely configure, restrict, lock, disable, or wipe the Rental Equipment, including any data stored on it, for security, compliance, asset recovery, or end-of-rental purposes.

4. Equipment Identification and Documentation

At the time the Rental Equipment is shipped, Baseline will document and provide the client with a record listing the serial numbers, makes, and models of all devices included in the Equipment Rental.

This documentation forms part of the Equipment Rental and is used for tracking, return verification, and asset management purposes.

5. Rental Fees

The monthly rental price per tablet is defined in the applicable proposal accepted by the client.

Rental fees apply for the full rental duration defined in the applicable proposal, regardless of actual usage. Rental fees are separate from any Baseline solution subscription fees and are  subject to applicable taxes.

6. Rental Duration

The duration of the Equipment Rental is defined in the applicable proposal.

The rental period begins on the date the Rental Equipment is shipped or activated, whichever occurs first, and ends at the conclusion of the defined rental period, unless extended, returned early, or converted to a purchase in accordance with this section.

7. Client Responsibilities

The client is responsible for the proper care, safekeeping, and use of the Rental Equipment while it is in the client’s possession.

The client shall:

  • Ensure that the Rental Equipment is used only by authorized personnel
  • Use the Rental Equipment solely for Baseline-related pilot or evaluation purposes
  • Not sub-rent, transfer, sell, or otherwise dispose of the Rental Equipment
  • Not modify, tamper with, or attempt to bypass device security, MDM controls, or SIM configurations
  • ​Not use the Rental Equipment for personal, recreational, or non-business purposes

8. Loss, Theft, or Damage

The client bears full responsibility for the Rental Equipment from the time of delivery until it is returned to Baseline.

In the event of loss, theft, or damage beyond normal wear and tear, the client shall promptly notify Baseline.

The client will be responsible for the reasonable cost of repair or replacement, based on Baseline’s standard replacement pricing or the manufacturer’s then-current replacement cost.

Normal wear and tear does not include cracked screens, water damage, missing devices, missing accessories, or damage resulting from misuse or negligence.

9. Risk Allocation and Insurance

Risk of loss transfers to the client upon delivery of the Rental Equipment.

Baseline is not responsible for theft, accidental damage, loss, or misuse of the Rental Equipment while it is in the client’s possession.

The client may, at its discretion, include the Rental Equipment under its insurance coverage.

10. Connectivity and Service Limitations

Wireless data connectivity is provided on a best-effort basis and is subject to third-party carrier availability, coverage, and limitations.

Baseline does not guarantee uninterrupted service, coverage, or performance and shall not be liable for outages, coverage gaps, or carrier-related service interruptions.

Connectivity is limited to use on the Rental Equipment and may not be transferred or reused on other devices.

The Client remains solely responsible for any data entered, generated, transmitted, or stored on the Rental Equipment during the Equipment Rental.

11. Purchase Option

At its discretion, Baseline may offer the client the option to purchase some or all of the Rental Equipment during or at the end of the rental period.

Any purchase option, including pricing and terms, must be confirmed in writing by Baseline.

If a purchase is completed, the rental for the purchased equipment shall end, ownership shall transfer to the client, and connectivity terms may be modified or terminated.

12. Return of Rental Equipment

Upon completion or termination of the Equipment Rental, the client must return all Rental Equipment in the same working condition it was provided in, subject to normal wear and tear.

The client is responsible for return packaging and shipping costs.

If Rental Equipment is not returned by the end of the rental period, Baseline will provide written notice to the Client requesting return of the outstanding equipment.

If the Rental Equipment is not returned within fifteen (15) days of such notice, Baseline may invoice the Client for the replacement cost of the unreturned equipment, including applicable shipping, handling, configuration, and administration costs.

13. Suspension or Termination

Baseline may suspend or terminate the Equipment Rental if rental fees are unpaid or if the client materially breaches this section.

Upon suspension or termination, the client must promptly return the Rental Equipment, and Baseline may disable wireless connectivity and device access.

14. No Warranty

The Rental Equipment is provided on an “as-is” basis for pilot and evaluation purposes only.  

Baseline makes no warranties, express or implied, regarding the fitness, performance, or suitability of the Rental Equipment for production use.

15. Limitation of Liability

To the maximum extent permitted under the Terms of Use, Baseline’s liability relating to the Equipment Rental is limited to the rental fees paid by the client for the affected equipment. 

Baseline shall not be liable for indirect, incidental, or consequential damages.

16. Integration with Terms of Use

This section forms part of Baseline’s Terms of Use. In the event of any conflict, this section governs matters relating to Equipment Rental.

Obligations relating to fees, loss, damage, and return of equipment survive the end of the rental period.
