1. Welcome to Resident
Resident is a technology and service that facilitates the connection between citizens and their elected officials. Through Resident, citizens can engage with public sector managers and employees via the government operations portal, enabling them to request and receive the desired services. These Terms of Service ("Terms") govern your usage of Resident, and other related products, features, apps, services, technologies, and software (referred to as "Baseline Products"), unless expressly stated otherwise. Baseline Telematics Inc., is the provider of these Products.
Usage of Resident and the covered products and services mentioned in these Terms does not incur any charges for Resident users nor Elected Officials. Instead, Municipal, State/Province, Federal governments, and public sector organizations compensate us for the usage of specific premium features available to them through Resident and other products.
By utilizing our Products, you consent to the sharing of your information with the relevant Municipal, Province/Territory, and Federal government entities as well as their duly appointed Elected Officials in which you reside. These organizations will utilize the shared information to improve the services provided to you as a resident within their governing jurisdiction. Your personal data will be used exclusively to facilitate interactions between residents, their elected officials, candidates for office, and respective public sector organizations and personnel. We are committed to not selling your personal data to any third party and restricting the sharing of information that directly identifies you (such as name, email address, or contact information) to only your relevant public service organizations and their authorized personnel, unless you grant specific permission. For more details, please refer to our privacy policy.
By accessing and using our Services, including but not limited to websites, SMS, email notifications, applications, buttons, and widgets that are linked to these Terms, you acknowledge and agree to abide by these Terms.
2. The Services We Provide
Our primary objective is to enhance democracy by digitally empowering residents and fostering closer connections with their elected officials and the governments they represent. We achieve this by facilitating seamless communication channels that enable residents to express their needs and desires while promoting transparency, improved service levels, and cost-effectiveness. To advance this mission, we offer the following Products and services:

Personalized Experience: Resident provides you with a personalized experience similar to other social media platforms, but with more impactful interactions. Citizens can make requests, offer suggestions, express appreciations, and ask questions, while staying informed about civic events, public service alerts, responding to proposals, goals and promises made by your governments and elected officials.

Modern Interaction with Your Governments: Resident empowers citizens by digitizing civil interactions that are of utmost importance to them. Whether it's making requests, asking questions, sharing suggestions, or expressing appreciations, all communications are directed to the relevant government departments with comprehensive information ensuring that all posts are properly addressed in a timely manner. For instance, when reporting a pothole to a municipal government, the city receives crucial information such as the location, accompanying images, the number of affected residents, and the date of detection. You can also track the city's progress from the moment they review your request to its completion.

Efficient Communication Between Cities and Residents: With Resident, Elected Officials and government employees can easily communicate with residents. You can receive real-time information about relevant civil security alerts, participate in voting for planned proposals, and stay informed about proposed events and initiatives. Resident empowers you to actively contribute to the growth and development of your municipality, state/province and federal Governments.
The four cornerstone features of our platform are as follows:

Requests: This feature allows users to post their requirements and promptly receive the public services they are entitled to. Users are encouraged to tag their elected officials as necessary to make certain their needs are addressed. It fosters direct, proactive engagement with public service providers and government officials.

Suggestions: This functionality enables users to share their ideas or recommendations for community improvement. Suggestions that gain support from fellow residents strengthen our democratic ethos and give voice to community consensus.

Appreciations: This feature is built on the principle that positive reinforcement is a powerful tool for community building. Users are encouraged to publicly appreciate services, individuals, or actions they find commendable. A community that celebrates its positives is credible and balanced.

Questions: The platform is designed to promote transparency and open dialogue. With this feature, users can directly communicate with government bodies and officials, seeking clarifications, or obtaining information they require. This fosters a well-informed user base that can actively participate in their democratic processes.
We maintain community guidelines to combat harmful conduct and ensure the protection and support of our community. This standard assists us in maintaining a constructive and focused discourse, which in turn ensures a positive and productive experience for all our users.
Additional Features for Elected Officials.

Goal Setting: Elected officials can utilize the 'Goal Setting' feature to demonstrate their commitment to their constituency progress. This serves as a platform to articulate strategic objectives and track milestones towards achieving them.

Proposals: The 'Proposals' feature allows elected officials to present new ideas or initiatives and gauge resident support. It fosters a democratic space for feedback and consensus building.

Announcements: The 'Announcements' feature is an effective tool for elected officials to disseminate important information to their constituents. It ensures timely and transparent communication on vital matters.
3. Funding for Our Services
Resident as well as other products and services we offer are completely free of charge for Resident users and Elected officials. The funding for Resident is providing value added features and services to governments, allowing them to better manage interactions with their constituents. Your personal data is only shared with the government to which your posts are assigned as well as their Elected Officials in order to facilitate communication between all parties.
4. Your Access to the Services
These Terms are an agreement between you and Baseline Telematics Inc., which provides Resident and its Services, The words “we,” “us,” and “our” mean Baseline Telematics Inc. Resident App currently intended only for use by citizens and residents living in supported jurisdictions, as evolves over time. Users must meet the following age requirements to create an account and use the Resident:

By creating a User account, you represent and warrant that you are at least 18 years of age, or the age of majority in your state, province or territory of residence, whichever is greater. If you are over 13 but under the age of majority in your jurisdiction, that your legal guardian has reviewed and agrees to these Terms;

In Canada, for users in Alberta, Manitoba, Ontario, Prince Edward Island, Quebec, and Saskatchewan, the age of majority is 18. For users in British Columbia, New Brunswick, Newfoundland, Northwest Territories, Nova Scotia, Nunavut, and Yukon, The age of majority is 19

You agree that it is your responsibility to ensure compliance with your local laws and regulations when using Resident.

You are not barred from using the Services under all applicable laws.

You have not been permanently suspended or removed from the Services.

If you are accepting these Terms on behalf of another legal entity, including a business or government entity, you represent that you have full legal authority to bind such entity to these Terms.
5. Account Registration and Security
To create a User account, you are required to provide your phone number (for validation purposes), unique Username, first name, last name, email address, gender, age (DOB), phone number, and optionally (but highly recommended), your primary home address or postal code. You assume sole responsibility for all activities that occur within your account. If you suspect unauthorized access to or use of your account, you must promptly notify us and provide all reasonable assistance to address such unauthorized access or use. The licensing, selling, or transferring of your account is prohibited without our prior written approval.
6. User Content and Conduct
Resident may contain information, text, links, graphics, photos, videos, audio, or other materials (“Content”), including Content created or submitted by you or through your account (“Your Content”). Baseline Telematics Inc., does not take responsibility for, nor does it expressly or implicitly endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any of Your Content.
By submitting Your Content, you represent and warrant that you possess all rights, power, and authority necessary to grant the rights to Your Content as stated within these Terms. As you are solely responsible for Your Content, you may expose yourself to liability if you post or share Content without all necessary rights.
You retain any ownership rights you have in Your Content. However, you grant Baseline Telematics Inc., the following license to use that Content:
When submitting, posting, or displaying Content, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods now known or later developed (for clarity, these rights include, for example, curating, transforming, and translating). This license authorizes us to make Your Content available to the rest of the world and to let others do the same. You agree that this license includes the right for us to provide, promote, and improve Resident and to make Content submitted to or through Resident available to other companies, organizations, or individuals who partner with Baseline Telematics Inc., You also agree that we may remove metadata associated with Your Content, and you irrevocably waive any claims and assertions of moral rights or attribution with respect to Your Content. Such additional uses by us or other companies, organizations, or individuals are made with no compensation paid to you concerning the Content that you submit, post, transmit, or otherwise make available through the Resident app, as your use of Resident is hereby agreed as being sufficient compensation for the Content and the grant of rights herein.
Although Baseline Telematics Inc., has no obligation to screen, edit, or monitor Your Content, we may, in our sole discretion, delete or remove Your Content at any time and for any reason, including for violating these Terms, violating our Resident Community Guidelines, or if you otherwise create or are likely to create liability for us.
7. Intellectual Property
We adhere to Canadian laws and regulations concerning intellectual property rights. The content, features, and functionality of the Resident app, excluding user-generated content, are protected under the Canadian Copyright Act (R.S.C., 1985, c. C-42), Trade Marks Act (R.S.C., 1985, c. T-13), and other applicable intellectual property laws in Canada.
Resident is owned and managed by Baseline Telematics Inc. All visual elements, designs, graphics, compilations, information, data, code, products, services, trademarks, and other components of Resident ("Materials") fall under the protection of intellectual property and other relevant laws. The Materials within the Resident app are the property of Baseline Telematics Inc., or their respective third-party licensors.
Users of Resident are expected to respect and comply with these laws, including but not limited to, refraining from copyright and trademark infringement, adhering to fair dealing provisions, and respecting moral rights of creators.
You agree not to copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or otherwise use any of the Content on Resident, except as expressly permitted by these terms of service or with prior written consent from Baseline Telematics Inc.
7.1 Notice of Alleged Copyright Infringement
If you believe that your copyrighted work has been infringed upon on Resident's website, please provide the following information to Resident's Copyright Agent.
Contacting Resident Notifications regarding claims of copyright infringement on or relating to this website ("Notifications") can be sent to Resident's Copyright Agent via email at info@baseline.io or by mail at: Baseline Telematics Inc., 324 Chemin du Tour, Laval (Quebec) Canada H7Y 1S5, Attention: General Counsel.
7.2 Submission of Notification For the Notification to be effective, it must include the following:

A physical or electronic signature of the authorized person acting on behalf of the owner of the allegedly infringed exclusive right ("Complaining Party").

Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single online site are covered by the Notification, a representative list of such works.

Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and sufficient information for Resident to locate the material.

Information reasonably sufficient to contact the Complaining Party, including an address, telephone number, and, if available, an email address.
-
A statement that the Complaining Party has a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

A statement that the information provided in the Notification is accurate, and under penalty of perjury, that the Complaining Party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
7.3 Receipt of Notification Upon receiving a written Notification containing the aforementioned information:

We will expeditiously remove or disable access to the allegedly infringing material.

We will forward the Notification to the alleged infringer (the "Alleged Infringer").

We will make reasonable efforts to promptly notify the Alleged Infringer that the material has been removed or access has been disabled.
7.4 Counter Notification An Alleged Infringer may submit a Counter Notification to contest the claim of alleged infringement.
To be effective, a Counter Notification must be a written communication provided to Resident's Copyright Agent and must include:

A physical or electronic signature of the Alleged Infringer.

Identification of the material that has been removed or disabled, along with its previous location.
-
A statement, under penalty of perjury, that the Alleged Infringer has a good faith belief that the material was removed or disabled as a result of mistake or misidentification.

The Alleged Infringer's name, address, telephone number, and a statement consenting to the jurisdiction of the Federal District Court where the Alleged Infringer's address is located or, if the address is outside the United States, any judicial district in which Resident may be found. Additionally, the Alleged Infringer must accept service of process from the person who provided the original notification or an agent of that person.
7.5 Receipt of Counter Notification Upon receiving a Counter Notification containing the aforementioned information:
a) We will promptly provide a copy of the Counter Notification to the Complaining Party.
b) We will inform the Complaining Party that the removed material will be replaced or access to it will be restored within ten (10) business days.
c) We will replace the removed material or cease disabling access within ten days.
Please note that if you knowingly misrepresent that any activity or material on our app is infringing, you may be liable to Baseline Telematics Inc., for certain costs and damages under Canadian law.
If we remove your content in response to a copyright or trademark notice, we will notify you via Resident's private messaging system. If you believe your content was wrongly removed due to a mistake or misidentification in a copyright notice, you can send a counter notification by contacting our Intellectual Property Agent (contact information provided above).
8. Privacy
Baseline Telematics Inc., is committed to protecting user privacy. We expressly do not sell user data nor host advertisements. Our primary source of revenue is exclusively from Government entities. Our Privacy Policy explains how and why we collect, use, and share information about you when you access or use our Services. You understand that through your use of the Services, you consent to the collection and use of this information as set forth in the Privacy Policy.
9. Third-Party Services and Content
Resident is designed to facilitate communication and interaction between users, elected officials, and governments within their respective jurisdictions. We prioritize the privacy and security of our users and do not engage in sharing user information with third parties for advertising or marketing purposes. Our revenue is solely generated through subscription services provided to participating governments.
By using Resident, you acknowledge and agree that any information you submit, or that is gathered through analytics, will only be used to render the app's services as efficiently as possible. Your information will only be shared with the elected officials and governments assigned to you within the app, based on the address you submitted. This sharing is strictly for the purpose of allowing the services to be provided and improving the overall functionality of the Resident app.
We do not display ads, sell user information, or engage in any activities that would compromise the privacy and security of our users. Our commitment to this principle is a critical aspect of our Terms and Conditions, distinguishing us from other social media platforms that fund themselves by selling ads or user information.
You understand that Resident may contain links to third-party websites, services, or content that are not owned or controlled by Baseline Telematics Inc. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Baseline Telematics shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
10. License Grant for Accessing Resident Services
Subject to your complete and ongoing compliance with these Terms, Baseline Telematics Inc., grants you a personal, non-transferable, non-exclusive, revocable, limited license to:
(a) install and use a copy of Resident obtained from a legitimate marketplace on a mobile device owned or controlled by you; and
(b) access and use the services provided by Resident. We reserve all rights not expressly granted to you by these Terms.
Except and solely to the extent such a restriction is impermissible under applicable law, you may not, without our written agreement:

License, sell, transfer, assign, distribute, host, or otherwise commercially exploit Resident or its Content;
-
Modify, prepare derivative works of, disassemble, decompile, or reverse engineer any part of Resident or its Content; or
-
Access Resident or its Content to build a similar or competitive website, product, or service, except as permitted under any Additional Terms (as defined below).
We continually improve Resident and its services. This means we may add or remove features, products, or functionalities; while we will try to notify you beforehand, it may not always be possible. We reserve the right to modify, suspend, or discontinue the Resident app and its services (in whole or in part) at any time, with or without notice to you. Any future release, update, or other addition to functionality of the Resident app will be subject to these Terms, which may be updated from time to time. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Resident app or any part thereof.
11. Account Suspension or Termination
Baseline Telematics Inc., reserves the right, at its sole discretion, to suspend or terminate your access to Resident and its services, at any time for any or no reason, including, but not limited to, if we reasonably believe:
Breach of Terms: If you violate or fail to comply with any of the provisions outlined in these Terms of Service, the Privacy Policy, or any other applicable guidelines or agreements related to your use of Resident.
Suspected Misconduct: If we suspect or become aware of any fraudulent, illegal, or unauthorized activities conducted through your account, or any behavior that may harm Resident, its users, or third parties.
Inactivity: If your account remains inactive for an extended period of time, as determined by Baseline Telematics Inc.
Upon suspension or termination of your account, you may lose access to any user-generated content, data, or other information associated with your account. You agree that Baseline Telematics Inc., is not liable to you or any third party for any suspension or termination of your account or the resulting loss of access to any content or information.
Baseline Telematics Inc., may also, at its sole discretion, decide to reinstate a suspended account or lift a termination if the issues leading to the suspension or termination have been adequately resolved. However, there is no guarantee or obligation for Baseline Telematics Inc., to do so.
12.Terms Applicable to Elected Officials
12.1 Communication with Elected Officials
Resident connects constituents with their elected officials (EOs) for communication and engagement purposes in democracies around the world. However, we cannot guarantee that an EO will download the app, respond to, or handle any interactions initiated by a Resident. Additionally, we cannot ensure that government authorities will address any requests made through the app. For emergency situations, it is crucial to follow local procedures for contacting emergency services instead of relying on the Resident App. Please be aware that the Resident App serves as a platform for communication and engagement, and we cannot be held liable for the responsiveness or actions of EOs or government authorities.
12.2 Automated Email Notifications Compliance and Opt-Out
When emails are sent to Elected Officials informing them that one of their constituents wishes to reach them regarding a relevant matter via the Resident platform, Baseline Telematics Inc. makes reasonable efforts to ensure compliance with applicable laws and regulations, including the CAN-SPAM Act and Canada's anti-spam legislation (CASL). Baseline Telematics Inc. will not be held liable for any email notifications sent by the Resident app that may violate the Canada's anti-spam legislation (CASL) and CAN-SPAM Act or any other applicable laws or regulations, so long as Baseline Telematics Inc. has made reasonable efforts to ensure compliance. It is acknowledged that the email notifications sent to elected officials are not commercial email messages and do not contain promotional or advertising content. Elected officials may opt out from receiving email notifications from the Resident app at any time by using the unsubscribe link provided in the emails or by contacting Baseline Telematics Inc., to request removal from the notification list.
12.3 Elected Official and Government Profiles and Interaction
Elected Official (hereafter referred to as ‘EO’), and Government profiles on Resident are initially created by our research team using publicly available information, such as email addresses and social media handles. We do not include any personal information about EOs that is not already publicly accessible. Although these profiles exist within the app, they remain inactive until the respective EOs registers using their official public service email address and joins the app.
Upon creating an EO profile, our research team sends a notification to the respective EO, informing them of any connection requests from users. The research team is responsible for managing and updating EO profiles until the EOs themselves join the app and take ownership of their profiles, activating their presence on the platform.
While Resident provides features for users to chat and connect with their EOs, Governments and Ministries, we cannot guarantee that these public service representatives, governing bodies, and/or their respective employees will respond to messages or engage in any interactions, whether they have joined and activated their profiles on Resident or not. The decision to interact with Resident users lies solely with the aforementioned public service entities and/or individuals. Baseline Telematics Inc. shall not be held liable for any lack of response, quality of communication or speed of interaction on the part of these parties.
12.4 Public Service Individuals and Entities Accuracy and Technical Issues
The information displayed in Resident is gathered from publicly available sources. While we strive to ensure the accuracy of this information, Baseline Telematics Inc., cannot guarantee its correctness. As a result, we are not responsible for any discrepancies or inaccuracies in the information provided about EOs and governing entities on our platform.
In some instances, due to technical issues within the app, users may be assigned to the incorrect EO and/or governing body for the location they've provided as their primary residence. If you encounter such an issue, please contact us using the provided contact information, and our team will work to resolve the problem as soon as possible.
However, it is important to note that Baseline Telematics Inc., is not liable for any incorrect public information about EOs. Our responsibility is limited to addressing technical issues within the app and ensuring the proper assignment of users to their respective EOs based on the information available to us.
12.5 Designation Updates and Content Moderation
Unless and until such a time as a Government subscribes to the Resident Services, our research team is responsible for updating the designations of elected officials (EOs) in the event of changes resulting from periodic elections or any other circumstances. We endeavor to keep the information as up-to-date and accurate as possible. However, Baseline Telematics Inc., cannot guarantee the correctness or completeness of the designation updates.
Additionally, we employ a team of moderators, assisted with technological tools, to screen and review content posted on the platform. While we strive to maintain a respectful and appropriate environment for our users, Baseline Telematics Inc., shall not be held responsible for any inappropriate or offensive content that may appear on the app. Users are encouraged to report any such content to our team for review and potential removal.
13.Terms Applicable to Government Entities
13.1 Adoption and Amendment of Resident Community Guidelines:
Baseline Telematics Inc., the developer of the Resident application ("App"), acknowledges that Governments ("Governments") may adopt the existing Resident Community Guidelines, or choose to request that we amend the Resident Community Guidelines to suit their specific requirements, provided that such amendments comply with applicable laws regulations and following given conditions:
13.1.1 Modification by Provincial Governments
Any amendment proposed by provincial government for the community guidelines of the Resident app shall be subject to the following conditions:

The proposed amendment must be initiated by a Provincial and federal government that is actively utilizing the app.

The proposed amendment shall come into effect upon obtaining approval through a simple majority vote, requiring 50% plus one vote, from other Provincial governments.

In addition to Provincial approval, the proposed amendment must also receive the explicit endorsement of the federal government.
It should be duly noted that the Resident community guidelines may solely be amended and voted by the governments currently utilizing the app.
13.1.2 Modification by Federal Governments
The Federal Government is vested with the authority to effect changes to the Resident Community Guidelines. Execution of such changes necessitates a simple majority vote (50% plus one) from the existing international federal governments.
Any amendment to the Community Guidelines of the Resident app proposed by the Federal Government shall be subject to the following conditions:

The aforementioned proposed amendments must garner approval through a majority vote, wherein at least 50% plus one of the international governments utilizing the Resident app concur with the amendment.

The applicability of the proposed amendment shall be confined solely to the jurisdiction of the country that put forth the amendment; no other country shall be obligated to adopt or be bound by the amendment.
It should be duly noted that the Resident community guidelines may solely be amended and voted by the governments currently utilizing the app.
13.1.3 Local Jurisdiction Modifications to Community Guidelines
We recognize that local governments may have unique needs and requirements that necessitate modifications to our general community guidelines within their respective jurisdictions. Therefore, local government entities may propose and implement alterations to these community guidelines solely applicable to their jurisdiction.
Any such modifications should be designed to fit the specific needs of their territory, and these alterations should not in any manner violate the spirit of our guidelines in promoting a democratic, respectful, and constructive environment for users. Importantly, all such amendments must remain compliant with all relevant and applicable laws and regulations.
In such a scenario, it is not mandatory for the specific local amendments to align entirely with the aforementioned criteria outlined in our general community guidelines. However, they should adhere to the core principles of our guidelines and not infringe upon the rights or safety of the users.
13.2 Government Subscription Evaluation and Government Services Provision
Upon the registration of an Elected Official ("EO") on Resident in their official capacity representing their Government, a 90-day period shall initiate for the Government they represent. During this period, the Government retains the discretion to determine whether to continue or terminate their subscription to our ResidentCare services. However, it should be noted that the app will continue to be accessible to both EO and resident users free of charge. Nevertheless, the provision of our services will cease in accordance with the Government's subscription status to the app.
13.3 Post-Grace Period Terms
Upon the conclusion of the aforementioned 90-day grace period, Baseline Telematics Inc., retains the right to update users about the status of their respective Government, suspend the account of the concerned Entity or User, and, if necessary, terminate the provision of services.
13.4 Interim Moderation by Baseline Telematics Inc.
Until such time that a Government assumes control of their respective constituencies within the App, Baseline Telematics Inc., will perform the role of moderators.
14. Reporting Violations of Terms of Use
If you become aware of any violations of our Terms of Service, Privacy Policy, or any Resident Community Guidelines or any other agreements, please notify our customer service team or report the violation using the in-app flagging feature.
By reporting a violation, you agree to cooperate with our investigation and take reasonable steps to help us address the issue. Your assistance in maintaining a safe and respectful community within the Resident app is greatly appreciated.
15. Disputes
In the event of any dispute, claim, or controversy arising out of or relating to your use of Resident or these Terms of Service (a "Dispute"), you and Baseline Telematics Inc., agree to first attempt to resolve the Dispute informally through good faith negotiations. To initiate the informal resolution process, either party must provide written notice to the other party, detailing the nature of the Dispute and the requested resolution.
If the Dispute is not resolved informally within 30 days of receipt of the written notice, either party may initiate binding arbitration as the sole means to resolve the Dispute. The arbitration will be conducted in accordance with the Canadian Arbitration Association's applicable rules.
The arbitration will take place in the province and city where Baseline Telematics Inc., has its principal place of business, unless both parties agree to an alternative location. The arbitration will be conducted in the English language, and the decision of the arbitrator will be final and binding on both parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
By using the Resident app, you acknowledge and agree that you and Baseline Telematics Inc., are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and Baseline Telematics Inc., otherwise agree in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of any class or representative proceeding.
16. Limits on Liability
To the fullest extent permitted by applicable law, in no event shall Baseline Telematics Inc. its affiliates, directors, officers, employees, agents, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Resident app, its content, or any services provided through the app, even if Baseline Telematics Inc., has been advised of the possibility of such damages.
Baseline Telematics Inc's liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) arising from these Terms of Service or your use of the Resident app shall be limited to the amount you have paid to Baseline Telematics Inc., for access to and use of the Resident app in the 12 months prior to the claim.
17. Indemnity
You agree to indemnify, defend, and hold harmless Baseline Telematics Inc., its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to :

your use of the Resident app, including, but not limited to, any user-generated content you post or share,

any information or materials you provide to Baseline Telematics Inc., or the Resident app,

your violation of any rights of any other person or entity, or

your violation of any applicable laws, rules, or regulations. Baseline Telematics Inc., reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Baseline Telematics Inc., in asserting any available defenses.
18. Limitation of Liability for Elected Officials
You acknowledge and agree that when elected officials of Canada use the Resident app in their official capacity, their participation, contributions, and communications are solely for informational purposes and are not intended to create any legally binding obligation, commitment, or representation on behalf of the elected official, the government, or any affiliated entity.
To the fullest extent permitted by applicable law, Baseline Telematics Inc., its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any claim, loss, or damage arising from or related to any action or inaction of elected officials in their official capacity, any information, advice, or communication provided by elected officials through the Resident app, or any reliance on such information, advice, or communication by users of the Resident app.
You further agree to indemnify, defend, and hold harmless Baseline Telematics Inc., its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to any action or inaction of elected officials in their official capacity, any information, advice, or communication provided by elected officials through the Resident app, or any reliance on such information, advice, or communication by users of the Resident app.
19. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms of Service due to any cause beyond its reasonable control, including but not limited to acts of God, natural disasters, acts of war or terrorism, strikes, labor disputes, embargoes, government orders or restrictions, epidemics, pandemics, or any other events or circumstances that are unforeseeable and beyond the reasonable control of the affected party (collectively, "Force Majeure Events").
In the event of a Force Majeure Event, the affected party shall promptly notify the other party and shall use its best efforts to mitigate the impact of the Force Majeure Event on its performance of obligations under these Terms of Service. The affected party's time for performance of such obligations shall be extended for the duration of the Force Majeure Event, and both parties shall cooperate in good faith to minimize any adverse effects of the Force Majeure Event on the parties' respective obligations under these Terms of Service.
If a Force Majeure Event continues for a period exceeding thirty (30) consecutive days, either party may, upon written notice to the other party, terminate these Terms of Service without any liability to the other party, except for any obligations that have accrued prior to the effective date of termination.
20. Governing Law and Jurisdiction
We want you to enjoy the Resident app, so if you have an issue or dispute, you agree to raise it and try to resolve it with us informally. You can contact us with feedback and concerns on the given contact information in this agreement.
To the fullest extent permitted by applicable law, any claims arising out of or relating to these Terms or the Resident app will be governed by the laws of Canada and the Province of Quebec, without regard to its conflict of laws rules; all disputes related to these Terms or the Resident app will be brought solely in the federal or provincial courts located in Laval, Quebec, Canada, and you and Baseline Telematics Inc., consent to personal jurisdiction in these courts.
If you are a Canadian city, county, territorial or provincial government entity, then this Section does not apply to you. If you are a Canadian federal government entity, any claims arising out of or relating to these Terms or the Resident app will be governed by the laws of Canada without regard to its conflict of laws rules. To the extent permitted by federal law, the laws of the Province of Quebec (other than its conflict of law rules) will apply in the absence of applicable federal law. All disputes related to these Terms or the Resident app will be brought solely in the federal or provincial courts located in Laval, Quebec, Canada.

22. Miscellaneous
These Terms, together with the Privacy Policy, Cookie Policy, and any other agreements expressly incorporated by reference into these Terms, constitute the entire agreement between you and Baseline Telematics Inc., regarding your access to and use of the Resident app. Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect. You may not assign or transfer any of your rights or obligations under these Terms without our consent. We may freely assign any of our rights and obligations under these Terms.

23. Prohibited Use of the Site and App
By accessing and using the Site and App, you acknowledge and agree that you will not engage in the following activities:
a. Violation of Terms of Use: Using the Site and App in violation of the terms outlined in these Terms of Use.
b. Source Code and Modifications: Copying, modifying, creating derivative works from, reverse engineering, reverse assembling, or attempting to discover any source code of the Site and App. Similarly, you shall not allow any third party to engage in such activities.
c. Commercial Exploitation and Transfer of Rights: Selling, assigning, sublicensing, distributing, commercially exploiting, granting a security interest in, transferring any right in, or making available to a third party the Content or Service provided by the Site and App, in any manner.
d. Use of Automated Systems: Using any automated system, including but not limited to "robots," "spiders," or "offline readers," to access the Site and App in a way that generates more request messages to Resident servers within a given time period than what a human could reasonably produce using a conventional online web browser.
e. Interference and Damage: Using the Site and App in a manner that damages, disables, overburdens, or impairs any Resident website or interferes with the use and enjoyment of the Site and App by any other party.
f. Mirroring and Framing: Mirroring or framing the Site and App, or any part thereof, on any other website or web page.
g. Unauthorized Access: Attempting to gain unauthorized access to the Site and App.
h. Access Through Unauthorized Means: Accessing the Site and App through any means other than the interface provided by Resident for accessing the Site and App.
i. Unlawful Use: Using the Site and App for any purpose or in any manner that is unlawful or prohibited by this Agreement.
